Product: Architectural Quickscan Services (SO1)
Valid through 2026 and until otherwise stated.
1. Definitions
1.1. Company: Atelier Fraser and/ or references to Gavin Fraser, incorporated in the Netherlands (KvK - 99625318)
1.2. Client: Any natural or legal person/ entity entering into an agreement with the Company.
1.3. Services: Preliminary architectural product “quickscan” design services.
1.4. Product: 1x Quickscan report
1.5. Quickscan: A conceptual architectural study consisting of up to three indicative design options that give an approximate, non-binding, and preliminary/ sketch design (Dutch design stage SO – Schetsontwerp)
1.6. Deliverables: 1 x A4 OR A3 quickscan report document to be sent digitally, including desktop analysis, extracts form the BAG and Kadaster (if applicable), overview of existing constraints as far as reasonably determinable, and floorplans of the relevant schemes with explanations provided.
1.7. Agreement: Any agreement between the Company and the Client.
2. Applicability
2.1. These Terms and Conditions apply to all offers, quotations, and Agreements issued by the company to any and all clients.
2.2. The applicability of any terms and conditions of the Client is expressly excluded.
3. Establishment of an Agreement
3.1. For quickscan services, the company does not create offers unless there are extraordinary circumstances, including but not limited to:
3.1.1. The scope of works or property being too great/large to be accommodated within the standard delivery window
3.1.2. A client or potential client requests additional non covered services either before, during or after the completion/ delivery of a quickscan project
3.1.3. A client or potential client requests a different design phase not covered by the quickscan (SO design phase)
3.1.4. The client wishes to make more than 1 ammendment per plan included in a quickscan report
3.1.5. A client of potential client requests the company to create a quickscan report for more than one property at the same time.
3.1.6. The client or potential client is unable to provide the necessary documentation and information required to conduct a quickscan report (see section DRAFT)
3.1.7. If the client or potential client requests a site visit.
3.2. Where an offer is not necessary within the quickscan process (where none of the situations listed above are present), an agreement is formed automatically upon placing an order on the company website.
3.3. Where services ordered on the website do not actually reflect the true nature of the work needed or requested, or if any of the points from 3.1.1. to 3.1.7. are present, the company reserves the right to terminate the agreement or seek additional compensation if applicable.
3.4. Emails enquiring about quickscan services and subsequent negotiations are not binding, and do not form an agreement. Only once both parties agree in writing is an agreement formed in this context.
3.5. Any offer sent to a client or potential client for services are nonbinding until both parties have agreed in writing.
3.6. Offers are subject to change at any time.
4. Fees & Payment
4.1. All prices are exclusive of VAT unless stated otherwise.
4.2. All prices quoted are in Euros unless otherwise stated.
4.3. The prices of The company are subject to programming-, calculation-, and/or typographical errors. If The company sends an (automatic) confirmation for an Offer with an evident error in pricing, The company reserves the right to correct this error.
4.4. In case of a potential price increase of the Offer due to changed circumstances/ scope, the company will inform the Client in a timely manner and take remedial action.
5. Price structure
5.1. The product/ quickscan report cost is variable and is dependent on several factors including, but not limited to:
5.1.1. The number of properties falling within the scope of works, with a minimum of w property and maximum of 3 properties.
5.1.2. The internal floor area of the property/ properties (ranging from 30m2 to 250m2)
5.1.3. If 3D modelling is required (inclusive imagery).
5.2. All products/ quick scan reports sold have a “base fee”. This is the fee after which discount/ surcharges apply. The base fee is variable and is calculated based on the internal floor area.
5.3. For the sake of advertisement and to act as a benchmark, the base fee for standard quickscan services is €1000,00 EUR excluding VAT. Services that fall outside of the quickscan service will incur additional costs to be determined at such a time as these are clear.
5.4. The “Standard quickscan” fee as referred to in point 5.1, is based upon a “standard delivery” (see point 7.1.1) and is in reference to the product/ quick scan report for a single property with an internal floor area of 100m2.
5.5. Based upon this “standard quickscan”, several surcharges and discounts apply, including but not limited to:
5.5.1. For every 5m2 under 100m2, a discretionary discount of 1,25% is applied. This discount applies up to and including properties with a floor area of 30m2. The minimum value charged including properties of 30m2 and less is €825,00 EUR.
5.5.2. For every 5m3 over 100m2, an surcharge of 3.75% is applied up to a floor area of 250m2. For properties exceeding 250m2, a custom offer is required, falling outwith the product/ quickscan report scope
5.6. In addition to the surcharges and discounts described in 5.3.1 and 5.3.2, the following discount and surcharges further apply:
5.6.1. If the product/ quickscan report is ordered using the “Urgent delivery” (see 7.1.2), there is an additional charge of 25%. This 25% charge is in addition to the prior surcharges.
5.6.2. If the product/ quickscan report is ordered using the “budget delivery” (see 7.1.3), there is a discretionary discount of 10%. This 10% discount is applied in addition to the prior discounts.
5.6.3. Additional surcharges apply with regards to the following:
5.6.3.1. When the product/ quickscan report is requested for more than one property (as a portfolio, up to 3 properties), the following additional “base” fees apply:
5.6.3.1.1. 1 additional property (2 total) = an additional 75% charge
5.6.3.1.2. 2 additional properties (3 total) = an additional 125% charge
5.6.3.1.3. In the case where there is more than one property covered by the product/ quickscan treport, when calculating the base fee used for subsequent discounts or surcharges the property with the highest floor area is used as the basis for the calculations.
5.7. Indicative prices can be found on the Atelier Fraser website within the quickscan page (atelierfraser.com/quickscan). A link to a cost calculator can be found on this page. It is important to note that:
5.7.1. The cost calculator is a preliminary estimate only and does not form a legally binding agreement and:
5.7.2. The company/ Atelier Fraser reserves the right to refuse orders/ order values derived from the online calculator of the product/ quickscan report for any reason.
5.7.3. No rights can be derived from the findings/ cost results presented by the cost calculator.
5.7.4. The cost calculator is provided to potential clients only to provide an estimate cost of works and is subject to change at any time.
6. Payment Terms
6.1. The company has a 50/50 payment term, wherein 50% of the fee must be paid upon the agreement of the services, with the remaining 50% deposited within 1 week of the digital delivery of the quickscan report.
6.2. The company will not commence work on a quickscan report until the initial 50% downpayment has been received, or until a confirmation of transfer from a bank is provided.
6.3. If a confirmation of payment is provided however no funds are received within 3 days of this confirmation, the company reserves the right to deny services until such a time as the funds have been received.
6.4. If after 1 week of the delivery of the quickscan report the remaining 50% of the fee remains unpaid, the company shall sent the client/ clients an enforcement note with a new payment date 1 week thereafter and with a financial penalty equal to 20% of the total fee. If after 2 weeks of the delivery date the remaining funds have not been received, the company reserves the right to send the outstanding payments to a collection agency at the expense of the client.
7. Nature of the Services – ‘Quickscan report
7.1. The Services covered under the ‘quickscan report’ with product code SO1, are preliminary, conceptual, and indicative only. The contents of the product/ quickscan report reflects the following points:
7.1.1. An overview of potential design options for a given property (stated above) including the following (where provided/ available); information concerning the property including Kadaster extract, BAG extract, funda information, an overview of existing constraints, 1 to 3 design options depending on the property presented in plan form.
7.1.2. Unless otherwise agreed, the product/ quickscan report does NOT contain any 2D or 3D imagery that show the spatial qualities of the design,
7.1.3. Under no circumstances will the product/ quickscan report contain any detailed design drawings for permit process (omgevingsvergunning tekeningen),
7.1.4. Unless otherwise agreed, the product/ quickscan does not include any site visits. This can be arranged for an additional fee.
7.1.5. Under no circumstances will the product/ quickscan report contain any specific costings, including but not limited to; construction costs, permitting costs, contractor costs, material costs, other labour costs, design/architect/ advisor fees, furniture/ interior fittings costs, and/ or any other applicable supplier costs. The quickscan report offers an indication of relative costs between the options presented in the report in the form of a red to green gradient bar. This is only an indication and cannot be used in place of a detailed costing. The product/ quickscan report does not contain sufficient design detail to accurately estimate costs to a euro value.
7.1.6. Under no circumstances will the product/ quickscan report contain any specifications in terms of fixtures, fittings, and or/ installation, or contain any supplier information in terms of furnishings drawn. All furnishing including within the report are for spatial planning only, and offer general sizes to assist clients in understanding the scale of the spaces being proposed. They do not offer any specific design intent in terms of furniture placement.
7.1.7. This document is intended for reference only, and cannot under any circumstances be used for a permit application (omgevingsvergunning) if applicable, as this requires additional and more detailed documentation not covered by the product/ quick scan report. This document is only meant to give an impression of possible design approaches that can be further elaborated at a later time. The content in the product/ quickscan report is explicitly not for construction, and no construction appropriate drawings are included.
7.1.8. No rights or obligations can be derived from the information or quickscan designs found in this document. Atelier Fraser is not liable for any damages incurred by the implementation of attempted implementation of the quickscan designs in this document.
7.1.9. This document does not contain any information regarding the amenities or facilities of the property neighbourhood
8. Execution of the agreement/ product
8.1. The product is delivered in accordance with the selected service speed. These speeds are:
8.1.1. Standard delivery: wherein the product is to be delivered within 3 business days according to the following terms:
8.1.1.1. For the base product with no add-ons, the fee is charged at 100%.
8.1.2. Urgent delivery: wherein the project is to be delivered within 2 business days according to the following terms:
8.1.2.1. For the base product with no add-ons, the fee is charged at 125%
8.1.3. Budget delivery: wherein the project is to be delivered within 7 business days according to the following terms:
8.1.3.1. For the base profuct with no add-ons, the fee is charged at 90%.
8.2. While Atelier Fraser stives to deliver the product/ quickscan report in accordance with these timeframes, Atelier Fraser reserves the right to extend the deadline unilaterally if:
8.2.1. The client is unable or refuses to supply Atelier Fraser or Gavin Fraser with the required documentation (as requested during the order phase)
8.2.2. The client changes the basis of the request to reflect:
8.2.2.1. A more complex or developed design phase than originally agreed
8.2.2.2. A change of subject property/ properties from what was originally agreed
8.2.2.3. The addition of extra properties in addition to what was originally agreed.
8.2.3. The client fails to pay the 50% downpayment in accordance with Atelier Fraser’s payment terms (see point
8.2.4. There are unforeseen circumstances that cannot be mitigated, including but not limited to:
8.2.4.1. Technical outages, failures or corruptions that result in a loss of work or inaccessibility to said work either physically or digitally.
8.2.4.2. Incapacitation of the company or its employees.
8.2.4.3. Bankruptcy or dissolution of the company.
9. Dispute of invoice
9.1. In accordance with the payment terms (see point 6), the client is subject to a 50% downpayment of services prior to work commencement, with the remaining funds to be settled after delivery. If the client disputes an invoiced amount, they must notify the company/ Atelier Fraser without delay, and before settling any funds.9.2. Disputes of charges are subject to the following terms;
9.2.1. For the 50% downpayment the client foregoes any disputes regarding charges after paying the company/ Atelier Fraser the amount stated in the disputed invoice.
9.2.2. For the settlement of the remaining 50% of the fee, the client must raise a dispute within 3 business days of receiving the settlement invoice. Any dispute claims thereafter are void.
10. Responsibility of the client
10.1. The Company relies exclusively on information supplied by the Client. It is the sole responsibility of the client to provide information according to the following criteria;
10.1.1. Immediately upon request with no delay
10.1.2. Relating exclusively to the subject property or properties
10.1.3. Is accurate and has clear and traceable sources.
10.2. The client is responsible for supplying the following information (not limited to):
10.2.1 Property address
10.2.2 Property details including but not limited to:
10.2.2.1. Floor plans
10.2.2.2. Images
10.2.2.3. Links to online listings/ other resources
10.2.2.4. Floor area
10.3. The Company is not liable for inaccuracies or omissions in such information. Any deficiencies in information provided that lead to an error or erroneous representation within the quick scan report is accepted by the client with no burden or responsibility of the company to rectify any identified inaccuracies due to client mistakes.
11. Intellectual property
11.1. All materials included in the product/ quickscan report are for the exclusive use of the named client.
11.2. All materials included in the product/ quickscan report are the exclusive property of the company/ Atelier Fraser.
11.3. The company/ Atelier Fraser does not give clients the right to share the product/ Quickscan report with third parties unless agreed to in writing.
12. Liability
12.1. The Company does not verify compliance with zoning plans, building regulations, permits, or other legal requirements.
12.2. The Client is solely responsible for verifying feasibility and compliance.
12.3. Deliverables are provided for inspiration and orientation purposes only.
12.4. Use of the Deliverables is entirely at the Client’s own risk.
12.5. Liability is excluded to the maximum extent permitted by Dutch law.
12.6. Where liability cannot be excluded, it is limited to the amount paid for the Services or EUR 500, whichever is lower.
12.7. The Company is not liable for indirect or consequential damages.
13. Indemnification
13.1. The Client indemnifies the Company against all third-party claims arising from use of the Deliver-ables or incorrect Client information.
14. Termination
14.1. Both parties reserve the right to the free termination of this agreement at any time with the provision that no refund will be issued for invoices already settled and;
14.2. All work completed after a prior invoice has been settled will be invoiced proportionally according to the work completed OR if cancelled by the client be subject to cancellation penalty of 250 EURO, whichever is less.
14.3. Atelier Fraser reserves the right to withhold any and all work related to the subject quickscan in the event of a cancellation by the client.
14.4. Notice of termination must be submitted in writing at least 24 hours prior to the cancellation date.
14.5. Atelier Fraser reserves the right to refuse future services to any client due to prior cancellation of services.
15. Complaints and resolutions
15.1.Complaints regarding Atelier Fraser quickscan services must be directed in writing to info@atelierfraser.com no later than 2 weeks upon the completion and delivery of works.
15.2.Atelier Fraser strives to resolve all complaints within a timely manner and via means that the company sees fit.
16. Personal data
16.1. Atelier Fraser shall only collect personal data necessary to provide Quickscan services. This includes, but is not limited to;
16.1.1. Personal contact information including phone number and email address16.1.2. Home address/ registered address 16.1.3. Details regarding physical property (including information regarding the asset question
16.2. Atelier Fraser does not collect or handle any private banking information. Banking information is hosted via Revolut Business
16.3. The client reserves the right to request that Atelier Fraser delete all personal information upon completion of the works with the exception of invoices. 16.4. All data collected is processed in accordance with GDPR.
17. Governing Law/ jurisdiction
17.1. All Agreements are governed by Dutch law.
17.2. Disputes shall be submitted to the competent court in the Netherlands.
18. Force Majeure
18.1. The Company is not liable for failure to perform due to force majeure.
19. Severability
19.1. If any provision is invalid, the remaining provisions remain in force.
20. Amendments
20.1. The Company may amend these Terms and Conditions at any time.
